For the discussion of a typical nonprofit agency, we will use an outline that is specifically for a nonprofit agency formed in the state of Arizona.  It should be noted that we cover all lower 48 states, for new nonprofit structure.  Therefore, we state that most nonprofits are 501(c)(3) organizations, are formed for religious, charitable, scientific, literary, or educational purposes and are eligible for federal and state tax exemptions. To create a 501(c)(3) tax-exempt organization, you would typically begin with a group of people who share a common goal of starting a nonprofit organization to fill a need within your community.  After carefully choosing a name for the organization, the founders get to work writing the articles of incorporation.

Details Of Formation 

First you need to form a nonprofit corporation under Arizona state law.  Then choose the initial directors for your corporation.  

In Arizona, you must have at least one director on your board.  Then choose a name for your Arizona nonprofit corporation.  

The name of your nonprofit corporation must be distinguishable from the name of other business entities on file with the Arizona Corporation Commission.  â€‹

The below outline is a basic requirement structure for each state:

 

  1. Choose directors for your nonprofit.

  2. Choose a name for your nonprofit.

  3. Appoint a registered agent.

  4. File Arizona nonprofit Articles of Incorporation.

  5. Publish Notice of Incorporation.

  6. Prepare nonprofit bylaws.

  7. Hold a meeting of your board of directors.

  8. Obtain an employer identification number (EIN).

  9. Obtain business licenses.

  10. File annual report.

  11. File Form 1023 for federal tax exemption.

  12. Apply for Arizona tax exemptions.

  13. Complete other state reporting and registration requirements.

Intellectual Property

From our experience, we find that many nonprofit agencies do not have knowledge of their own Intellectual Property.  In general terms, “Intellectual property” refers to a category of intangible property that derives from the work of the mind or intellect, such as an idea, process, creative work, symbol or name used in commerce.  Even though intellectual property is intangible, it can still be owned like tangible property such as homes, cars and consumer goods.  Non-profit organizations produce and own intellectual property in many forms, including organization names and logos, inventions, instructional materials, websites and brochures. Understanding the various categories of intellectual property is important for any non-profit organization to both (1) protect and benefit from its intellectual property, and (2) ensure that it is not infringing on the intellectual property rights of others.

When a request is made for Consultant Services, we make sure that you are first ready for our services, with an approved budget.  Without these first two steps being completed, we can not proceed any further.  We want to be fair to our clients and provide only services that they can use.  Satisfaction is what we seek from our clients, and we will work with you to meet those needs.

Once you have decided on your budget and what project you want us help you with, then follow the outline below:

    1. Fill out our Free Online Application regarding your project and what you want help with.

    2. Step #2 Approval:  Once we review your application and approve it for further development, we will contact you by                  email to let you know our overall opinion.  

    3.
